Terms of Service

These Terms of Service (“Terms”) govern your use of nostrallc.com and the services provided by Nostra LLC (“Nostra”, “we”, “us” or “our”). By using our website or services, you agree to these Terms.
1. Services
Nostra provides Google Ads management, search engine marketing, search engine optimization, conversion rate optimization, web hosting and related online marketing services. The specific scope, deliverables and fees for each client are set out in a written proposal, statement of work or service agreement (“Agreement”). If an Agreement conflicts with these Terms, the Agreement controls.
2. Client responsibilities
You agree to provide accurate information, timely access to the accounts and assets we need, and prompt approvals and feedback. You are responsible for the accuracy and legality of your products, services, claims, website content and any materials you provide to us.
3. Fees, ad spend and payment
Management and service fees are invoiced as described in your Agreement and are due within the stated payment terms. Advertising spend is billed directly by the advertising platform to your payment method and is your responsibility.
Late payments may result in suspension of services. Fees are non-refundable except where required by law or stated in your Agreement.
4. Account ownership
Advertising, analytics and hosting accounts created for you remain your property. Upon termination and full payment of outstanding fees, we will transfer or relinquish access to all accounts and assets that belong to you.
5. Platform policies
All campaigns must comply with Google Ads policies and the policies of any other platform used. We may decline to run or may pause advertising that we believe violates platform policies or applicable law. Nostra is not responsible for account suspensions, ad disapprovals or policy changes made by third-party platforms.
6. No guarantee of results
Online advertising and SEO outcomes depend on many factors outside our control, including competition, market conditions, platform algorithms and your website. While we apply professional best practices, we do not guarantee specific rankings, traffic, leads, sales or return on ad spend.
7. Web hosting and acceptable use
Hosting clients may not use our services to host unlawful, infringing, malicious or abusive content, send unsolicited bulk email, or interfere with other users or systems. We may suspend hosting services that violate this section or pose a security risk. We target high availability but do not guarantee uninterrupted service.
8. Intellectual property
Upon full payment, you own the ad copy, landing pages and creative deliverables produced specifically for you. Nostra retains ownership of its pre-existing tools, templates, processes and know-how. The content of this website is owned by Nostra and may not be copied without permission.
9. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only to perform or receive the services, except where disclosure is required by law.
10. Term and termination
Unless your Agreement states otherwise, services continue month to month after onboarding, and either party may terminate with 30 days’ written notice. We may terminate immediately for non-payment or material breach. Fees for services performed before termination remain payable.
11. Limitation of liability
To the maximum extent permitted by law, Nostra will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the fees you paid to Nostra in the three months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Nostra harmless from claims arising from your products, services, website content, materials you provide or your violation of these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Polk County, Iowa.
14. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of our website or services after changes take effect means you accept the updated Terms.
